1. Acceptance of Terms
The services The Nest Coworking ("The Nest Coworking, LLC") provides to you, the undersigned (including but not limited to the use of office space and access to the Internet), are subject to the following terms of use. The Nest Coworking reserves the right to modify, update, or change the terms of use at any time. The Nest Coworking will attempt to notify you of any updates within 30 days of their enactment using the contact information provided in the Membership Agreement.
2. Description of Services
The Nest Coworking may provide you with access to office space, workstations, internet access, office equipment, conference space, knowledge resources, and other services as The Nest Coworking may provide from time to time.
3. No Unlawful or Prohibited Use
As a condition of your use of the services, you agree not to use the services for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not:
- Use the services in a manner that damages, disables, overburdens, or impairs The Nest Coworking server or network(s).
- Interfere with any other party's use and enjoyment of the services.
- Attempt to gain unauthorized access to accounts, computer systems, or networks connected to The Nest Coworking servers.
- Obtain or attempt to obtain any materials or information through unauthorized means.
You represent and warrant that you have the legal power and authority to enter into this agreement and that your participation will not conflict with any other obligations or agreements.
4. Use of Services
When using the services, you agree not to:
- Engage in spamming, unsolicited messaging, or similar activities.
- Defame, harass, or violate others' legal rights.
- Upload or distribute inappropriate, profane, defamatory, or unlawful content.
- Violate intellectual property rights.
- Upload harmful software or viruses.
- Collect information about others without their consent.
- Violate applicable laws or create a false identity for deceptive purposes.
5. Disclosure of Information
The Nest Coworking reserves the right to disclose any information about your participation or use of the services as necessary to comply with legal requirements or to protect its interests.
6. Confidentiality
You agree to:
a. Maintain all Confidential Information in strict confidence.
b. Not disclose Confidential Information to third parties.
c. Refrain from using Confidential Information in any way detrimental to The Nest Coworking or its participants.
All Confidential Information remains the sole property of The Nest Coworking or the disclosing party.
7. Participation at Your Own Risk
You acknowledge that your participation in or use of the services is at your own discretion. The Nest Coworking is not liable for any loss of information or damages.
8. Disclaimer of Warranties
The services are provided "as is," with no warranties of any kind. The Nest Coworking disclaims all warranties related to merchantability, fitness for a particular purpose, and non-infringement.
9. Termination
The Nest Coworking reserves the right to terminate any service at any time. Participation may also be terminated without notice if you fail to comply with the terms.
10. Indemnification
You agree to indemnify and hold harmless The Nest Coworking, its affiliates, and representatives from any claims, losses, or damages arising from your participation or use of the services.
11. Severability
If any provision of these terms is deemed invalid or unenforceable, the remaining provisions will remain in effect.
12. Insurance
The Nest Coworking carries Liability and Business Personal Property insurance. It is strongly recommended that you obtain renters' insurance to cover your equipment.
13. Monthly Billing
Memberships are billed monthly. Unused days are non-refundable. A one-month notice is required for changes to your account.
14. Membership Deposits
Deposits are required when starting or reinstating memberships. These are non-refundable but can be applied to your final month with a 30-day cancellation notice.
15. Wi-Fi
Wi-Fi is included in the services. Personal Wi-Fi devices are not permitted.
